Role Intent
- To enable the broader GCE team’s deliverables through focused and strategic guidance and support
- To ensure the GCE functional strategy objectives including key milestones are achieved
- To ensure team cohesion, skills transfer and the leveraging of capabilities and synergies
- To drive cost optimization and contain the headcount
Oversee, and be accountable for the optimization, support, enablement and monitoring of delivery by and for the Governance, Compliance & Ethics (GCE) function, specifically Company Secretarial Services
Oversee, and be accountable for, consistent delivery of enabling solutions that contribute to business results and improved competitiveness, identify non-conformance and manage projects to optimise delivery and value
Provide input into, drive and facilitate the development of the Company Secretariat strategy and plan in line with the functional strategy and manage and monitor implementation which includes resolving delivery challenges amongst stakeholders
Ensure effective, standardised, relevant and regular communication by and within the overall GCE function
Oversee Company Secretarial Service delivery and service provider contracts and manage the relevant relationships to the advantage of GCE.
Deliver and manage budgets and service- and asset management plans, through amongst others ensuring:
• clear, efficient and cost effective Company Secretariat service delivery to businesses and functions within Sasol
• identify services where cost reductions can be achieved for implementation in each financial year
Ensure cost effective planning and execution of the annual general meeting for Sasol Limited and provide guidance and support for the annual and general meetings for Sasol Khanyisa.
Support and manage the role out of all GCE training and development interventions.
Ensure that the web-based platforms utilized by and for GCE are maintained with relevant and accurate information.
Manage annual client satisfaction surveys and initiate interventions where applicable
Manage company secretariat systems, processes and procedures
Oversee the maintenance of the annual corporate calendar and annual year-end publication process
Plan and manage the annual statutory audit, amongst other to assist in ensuring an unqualified audit report
Create and manage an effective and efficient GCE e-based knowledge management system, ensuring technology capability and data quality
Oversee the effectiveness and relevance of electronic systems, amongst others, BoardVantage, electronic declarations of interests system, Livelink and Blueprint and ensure the development and management of an effective and efficient records management system
Oversee the implementation of tools, processes and standards to enable consistent development and execution of the overall GCE strategy
Arrange and drive GCE strategy sessions
Set, monitor, manage & escalate deliverables & milestones, ensuring alignment of the overall GCE strategy with Group Strategy and FY19 Top Priorities
Develop GCE standards, policies and procedures
Ensure timely roll-out and communication of GCE standards, policies and procedures to ensure integration into day-to-day business activities for the Sasol Group..
Produce six newsletters based on topical areas approved by the SVP.
